A3 Artists Agency Ex-Chairman Adam Bold Resolves Lawsuit Over Sale to Gersh-December 2024

A lawsuit over the sale of A3 Artists Agency to Gersh has been resolved.

Former agency partners Robert Atterman and Brian Cho, who accused majority owner Adam Bold of duping them into signing away their rights to stop the acquisition, moved on Wednesday to dismiss the case after a settlement was reached between the two sides in A3s bankruptcy proceedings.

The 2023 lawsuit detailed chaos at A3 as it confronted an exodus of agents and their clients to competing firms amid alleged mismanagement of company funds, sexual misconduct and drug abuse by Bold. It sought to block the sale of the companys most profitable divisions to Gersh, claiming that Bold sold the company well-below market value. Two months after the complaint was filed, A3 closed its doors. According to a source at the time, the decision to pull the trigger on the sale was unilaterally made by Bold and caught agency Atterman and Cho by surprise. Its roster of clients included Kim Joo-ryoung (Squid Game) and former Writers Guild West president David A. Goodman.

Bold secured the authority to unilaterally force a sale under a new operating agreement signed in 2022, according to the complaint. Before that, significant decisions concerning A3 largely had to be approved by board members. Atterman and Cho alleged that Bold strong armed them into amending the agreement by threatening to fire them. They were also allegedly told that Bold wouldnt sell for less than $60 million and that they would each get at least $5 million as part of the sale. But Bold was already shopping A3 at a valuation well below that figure while informing competitors that the agency had a bad business model, the lawsuit claimed.

In September 2023, Bold agreed in principle to the sale between A3 and Gersh, said the lawsuit, which noted that neither Cho nor the board was involved in the negotiations. According to the complaint, A3s most profitable divisions digital and unscripted along with its top agents were part of the deal.

Bold, whose lawyer didnt respond to a request for comment, was also accused of reckless spending and sexual harassment. The lawsuit alleged fraud, negligent misrepresentation and several other claims relating to alleged breaches of contract.

Bryan Freedman, a lawyer for Cho and Atterman, didnt respond to a request for comment.
